Agreement to Terms

These Terms and Conditions ("Terms") govern your access to and use of the overviewenergy.com website (the "Site") operated by Overview Energy, Inc. ("we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site.

Trademarks

Overview Energy, Space Energy for Earth, Ad Astra Pro Terra, SunSat and Overview and our logos, product names, and service names are trademarks of Overview Energy, Inc. You may not use these marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

User Submissions

If you submit any content to the Site (such as comments, feedback, suggestions, job applications, or other materials), you grant Overview Energy a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media.

You represent and warrant that you own or control all rights in and to the content you submit and that such content does not violate these Terms or any applicable law.

Indemnification

Employment Applications

When you submit a job application through the Site, you acknowledge that:

  • All information provided is accurate and complete to the best of your knowledge
  • Overview Energy may verify the information provided and contact references
  • Submission of an application does not guarantee an interview or employment

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Loudoun County, Virginia, and you irrevocably consent to the personal jurisdiction and venue therein.

Dispute Resolution

Informal Resolution

If you have any dispute with Overview Energy, you agree to first contact us and attempt to resolve the dispute informally by sending written notice to legal@overviewenergy.com describing the nature and basis of the dispute and the relief sought.

Arbitration Agreement

If we cannot resolve a dispute informally within thirty (30) days, any dispute arising out of or relating to these Terms or the Site shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted in Loudoun County, Virginia, and judgment on the arbitration award may be entered in any court having jurisdiction.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Site and supersede and replace any prior agreements we might have had regarding the Site.

Waiver

No waiver by Overview Energy of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Overview Energy to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
